These Terms (the "Agreement") govern your use of the codingassist.bot platform, including the website at codingassist.bot, the application at app.codingassist.bot, and the API at api.codingassist.bot (together, the "Service"). By accessing or using the Service you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing the Service, or installing the self-hosted version, you represent that you have the legal authority to enter this Agreement, either on your own behalf or on behalf of an entity you represent. If you are agreeing on behalf of an entity, "you" refers to that entity.
You must be at least 16 years old to use the Service. We do not knowingly serve users under that age.
2. What the Service does
codingassist.bot is a deterministic code-review platform. It ingests three signals — your diff, a semantic index of your codebase, and the acceptance criteria from your ticket — and emits a structured verdict on whether the diff implements the contract you specified.
We make no guarantee that the Service will catch every defect, nor that it will be free from false positives. The Service is a reviewer; final merge decisions remain yours.
3. Accounts and credentials
You are responsible for the security of your account credentials and for any activity that occurs under your account. You agree to notify us promptly at security@codingassist.bot of any unauthorized access. We are not liable for losses caused by compromised credentials we had no reason to suspect.
4. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the underlying models or prompts of the Service, except where the law allows;
- Use the Service to process content you don't have the right to process, including stolen code or repositories you don't control;
- Submit content that is illegal, infringes third-party rights, or violates applicable export-control laws;
- Attempt to overload the Service or bypass rate limits;
- Resell the Service or wrap it in a competing offering without a written reseller agreement.
We may suspend access if we reasonably believe you are violating this section.
5. Subscriptions, billing, and payment
Paid plans are billed in advance on a monthly or annual basis through Stripe Connect, our payment processor. By providing payment details you authorize Stripe and codingassist.bot to charge the recurring fee plus applicable taxes to your selected payment method.
Pricing is published at /pricing and may change for new billing periods with at least thirty (30) days' notice. Prices for an in-progress billing period are locked.
Card data and PCI
We do not store card numbers. Stripe is a PCI-DSS Level 1 service provider and holds your payment instrument under its own controls. See Stripe's privacy policy for the handling of payment data.
Failed payments
If a payment fails, we will retry per Stripe's standard schedule. After three consecutive failed attempts we will downgrade your account to the Free tier. You can restore service at any time by updating your payment method.
6. Free trial
The Team and Business plans include a 14-day free trial. We will not charge you during the trial and you may cancel at any time. After the trial, your subscription renews at the published rate unless you cancel before the trial ends. We may, at our discretion, limit trials to one per organization.
7. Cancellation and refunds
You may cancel your subscription at any time from app.codingassist.bot/settings/billing. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
For annual plans, if you cancel within fourteen (14) days of the initial purchase and have not exceeded usage thresholds defined in your order form, we will refund the unused portion on request to billing@codingassist.bot.
8. Your code, your data
You retain all rights, title, and interest in the code, diffs, tickets, and other content you submit to the Service ("Customer Data"). You grant codingassist.bot a limited, non-exclusive license to process Customer Data solely for the purpose of providing the Service to you.
We do not train shared or third-party models on your Customer Data. Aggregated, anonymized telemetry (e.g., counts of verdicts emitted) may be used to improve the Service. The details are in our Privacy Policy.
9. Intellectual property
The Service, including its software, models, prompts, and documentation, is and remains the property of codingassist.bot, Inc. and its licensors. Nothing in this Agreement transfers ownership of the Service to you. We grant you a non-exclusive, non-transferable license to use the Service in accordance with this Agreement.
Feedback. If you send us feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use them in any product or service without obligation to you.
10. API usage
The API at api.codingassist.bot is subject to the same Acceptable Use restrictions plus per-plan rate limits documented at /docs/api. Excess usage may be billed as overage or throttled at our discretion.
API tokens are credentials and must be treated as such. Do not embed them in client-side code or commit them to public repositories.
11. Self-hosted license
The self-hosted distribution is offered under a separate Master Subscription Agreement (the "MSA") signed at order time. The MSA controls in case of conflict with these Terms. The self-hosted distribution may not be redistributed without our written consent.
12. Confidentiality
Each party agrees to protect the other's non-public information disclosed in connection with the Service with reasonable care, and to use it only to fulfill the purpose of this Agreement. This obligation survives termination for three (3) years.
13. Warranties and disclaimers
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, codingassist.bot disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected within any specific timeframe.
14. Limitation of liability
To the maximum extent permitted by law, codingassist.bot's aggregate liability arising out of or related to this Agreement shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
In no event shall codingassist.bot be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility.
15. Indemnification
You agree to defend, indemnify, and hold harmless codingassist.bot, its affiliates, and their officers, employees, and agents from any third-party claim arising out of (i) your use of the Service in violation of this Agreement, (ii) your Customer Data, or (iii) your violation of any law or third-party right.
16. Termination
Either party may terminate this Agreement for convenience at any time. We may terminate or suspend the Service immediately if you breach this Agreement, fail to pay, or use the Service in a way that creates legal or operational risk for us.
Upon termination, your right to use the Service ends. You may export your Customer Data for thirty (30) days after termination; after that we may delete it. Sections that by their nature should survive termination — IP, confidentiality, warranties, liability, indemnification — survive.
17. Changes to these Terms
We may update this Agreement from time to time. Material changes will be announced at least thirty (30) days before they take effect, via email to the account owner and a notice in the application. Continued use after the effective date constitutes acceptance.
18. Governing law and disputes
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for any dispute that cannot be resolved informally.
